We are pleased to inform you that on the 26th July 2023, the entry regarding the conversion of CloudFerro into a Joint Stock Company has been registered in the National Court Register in Poland (KRS). Since then CloudFerro has been operating as a Joint Stock Company under the name CloudFerro S.A. (an abbreviation of Spółka Akcyjna).
The goal of this change is to adapt the legal form of the company to the growing scale and business challenges while maintaining continuity of its operations. This means that the converted company has all the rights and obligations of the converting company. The converted company remains holder of, for example, permits, concessions or reliefs that were granted to the company prior to its conversion.
The changed legal form will not affect CloudFerro’s business continuity. This means that the contracts entered into by CloudFerro with our Business Partners will continue to be in force and effect on their existing terms. CloudFerro S.A. will assume all rights and obligations of CloudFerro sp. z o. o.
We kindly request our Business Partners to ensure that the documents dated from the 26th July 2023 onwards contain correct CloudFerro S.A. details. The registered office address, tax identification number (NIP), statistical identification number (REGON), and bank account numbers remained unchanged. However, the company name and the KRS registration number have changed. The share capital of CloudFerro remained unchanged and amounts to PLN 354,800. The shareholders of CloudFerro Sp. z o.o. became shareholders of CloudFerro S.A. proportionately to their shareholding on the conversion date. The shareholding structure remained unchanged.
